1. Eligibility

AgooBiz.com™ FREE iPad 2 Giveaway [hereafter referred to as “Sweepstakes”] is administered by AgooBiz, Inc. [hereafter referred to as “AgooBiz” or “AgooBiz.com”] and is open to merchant business owners or the merchant businesses’ authorized officers age 18 and older who reside in the United States where receipt of prizes or entry in the Sweepstakes is not prohibited by United States and/or local laws, rules or regulations. Employees of AgooBiz or any of their respective affiliates, subsidiaries, advertising agencies, participating sponsor or any other company involved with the design, production, execution or distribution of the Sweepstakes and their immediate family [spouse, parents, siblings and children] and household members of each such employees are not eligible. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited. Participation constitutes entrant's full and unconditional agreement to these OFFICIAL RULES and AgooBiz’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. These OFFICIAL RULES in connection with this Sweepstakes are subject to AgooBiz’s web site privacy policy and terms & conditions located at http://www.agoobiz.com/privacy_policy/ and http://www.agoobiz.com/terms-conditions/.

***Limit of one entry per business during the Sweepstakes. The submission of more than one entry for the same business will result in a total disqualification from the Sweepstakes. Submission of more than one business by the same owner is acceptable.

2. Administrator/Sponsor

AgooBiz, Inc. is the sole “Administrator” of the Sweepstakes.

3. Timing

The Sweepstakes begins on May 19th, 2012 at 12:00AM EST and ends on August 31, 2012 at 11:59 PM EST (the "Sweepstakes Period"). Administrator's computer is the official time keeping device for this Sweepstakes.

4. How to Enter

Execution of the steps below is free of charge and at no point during this Sweepstakes will the business be asked to provide Credit Card or Payment information.

Web Entry:
1. Merchant Businesses can enter the Sweepstakes by first joining AgooBiz using the “join agoobiz” section located on the home page the following web address: http://www.AgooBiz.com. Make sure to write down your Username and Password.

2. Activate the new MicroSite by clicking the link in the confirmation email you’ll receive automatically [this email is sent to the email address provided by the merchant business during registration].

3. Log into your new MicroSite using your chosen Username and Password

*** You will be taken to the “my account” mode where you can edit your MicroSite

*** You may use another AgooBiz MicroSite as a sample and guide for your MicroSite [Suggestion: "SweetKarma Desserts" or "Monicas Bridal"]

4. Upload your company logo

5. Enter the Mission Statement by clicking the “edit profile” button

6. Create at least one Blog Article by clicking the “edit blog” button.

7. List a minimum of 5 products by clicking “edit shop” [It is FREE to List Unlimited Products for an Unlimited period of time on AgooBiz.com]

8. Invite any other existing AgooBiz member businesses to your Business Network [go to another business’ MicroSite and click “add to network”]

9. Invite another [non-member] business to join AgooBiz by clicking the “send invite” button.

General Conditions Regarding Entering: Web entry requires using the AgooBiz.com “join agoobiz” section. Use of any automated system to participate is prohibited and may result in disqualification. AgooBiz, Inc. is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. Potential winners will be required to provide proof of ownership of the active business’ existence by providing their Tax ID [this Tax ID will never be disclosed to the public by AgooBiz]. In the event of a dispute as to the identity of the rightful winner, AgooBiz will gather proof of identity from the disputing business owner and will solely be responsible for choosing the winner. The winning business will have to provide the Shipping Address where AgooBiz will be sending the iPad 2.

5. Winner Selection

AgooBiz will conduct a drawing at 11:00 am EST on September 7th, 2012 [one week after end of Sweepstakes is needed for AgooBiz to verify the eligible businesses] by randomly selecting one Entry from all Entries properly submitted during the Sweepstakes Period.

6. Verification and Notification of Potential Grand Prize Winner

ALL POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY AGOOBIZ WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. Potential Grand Prize Winner must continue to comply with all terms and conditions of these OFFICIAL RULES, and winning is contingent upon fulfilling all requirements. Potential Grand Prize Winner will be posted on AgooBiz’s Twitter: @AgooBiz profile, AgooBiz’s Facebook/AgooBiz, Inc. fan page, on AgooBiz.com’s home page, and at the following web address: http://www.agoobiz.com/profiles/AgooBiz. The potential winner must respond within 7 days of his/her name and Business name being posted. In addition and as a courtesy, AgooBiz will also attempt to alert the Potential Grand Prize Winner using the email address provided during the entry process, but AgooBiz is not responsible for any technical malfunction or undelivered email messages. IT IS THE BUSINESS’ RESPONSIBILITY TO CHECK THE WEBSITE ADDRESS ABOVE AFTER THE CONCLUSION OF THIS SWEEPSTAKES TO SEE IF IT IS A POTENTIAL GRAND PRIZE WINNER. Once the potential winner has been verified to the satisfaction of AgooBiz, AgooBiz will arrange for prize fulfillment. If the selected potential Grand Prize Winner is determined to be ineligible by AgooBiz, or fail to respond within the required time period, the potential winner forfeits their prizes and is disqualified. Otherwise, the selected potential Grand Prize Winner becomes the Validated Grand Prize Winner. In the event that potential Grand Prize Winner of a prize is disqualified for any reason, AgooBiz will in AgooBiz’s sole discretion randomly select a different winner from all remaining eligible entries and repeat the verification process outlined above.

7. Prizes

A maximum of one "Grand Prize" consisting of an Apple iPad 2 [Wi-Fi Only- Model #: MC954LL/A - 16GB] will be awarded.

8. Odds of Winning

The odds of winning will depend on the number of entries.

9. Release

By entering this Sweepstakes, entrant agrees to release and hold harmless AgooBiz, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and each such company's officers, directors, employees and agents [collectively, the "Released Parties"] from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize.

10. Publicity

Except where prohibited, participation in the Sweepstakes constitutes winners consent to AgooBiz’s and its agents' use of winner's name and business name, likeness, photograph, voice, opinions, hometown and state, and/or uploaded photo or slide show for promotional purposes in any media, worldwide, without further payment or consideration. Additionally, winner agrees to snap a photo of himself/herself holding their new iPad 2. AgooBiz will provide details as to the content of the photo, and the winner will submit the image to AgooBiz as per AgooBiz’s instructions.

11. General Conditions

AgooBiz reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond AgooBiz's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by AgooBiz in its sole discretion. AgooBiz reserves the right in its sole discretion to disqualify any business it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these OFFICIAL RULES or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, AgooBiz reserves the right to seek damages from any such person to the fullest extent permitted by law. AgooBiz's failure to enforce any term of these OFFICIAL RULES shall not constitute a waiver of that provision.

12. Limitations of Liability

The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's MicroSite is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Sweepstakes, provided that if it is not possible to award another entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, AgooBiz, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded.

13. Disputes

Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, other than those concerning the administration of the Sweepstakes or the determination of winners, shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved exclusively by the United States District Court located in New York City, NY or the appropriate NY State Court located in NYC, NY; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses , and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these OFFICIAL RULES, or the rights and obligations of the entrant and AgooBiz in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules [whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

14. Entrant's Personal Information

By entering the Sweepstakes, entrant consents to AgooBiz’s use of their information for any purposes AgooBiz deems necessary in the administration and promotion of the Sweepstakes. AgooBiz may also use entrant’s business information to communicate with entrant about AgooBiz’s products, services, promotions, surveys, or any other type of solicitation purposes that AgooBiz desires. AgooBiz will not, however, release, sell, or otherwise knowingly distribute entrant’s business and/or personal information to a third party. 15. Sweepstakes Results

For Sweepstakes results and/or a copy of these OFFICIAL RULES, send a hand-printed, self-addressed, stamped envelope containing a written request on a 3X5 index card to AgooBiz,Inc., Attn: Steve Kavetsky, 3115 Brighton 4th St, Suite 5P, Brooklyn, NY 11235. Winner’s information will be announced on the aforementioned date [Sep. 7th,2012] and in the aforementioned locations [for notification locations, see section 6. Verification and Notification of Potential Grand Prize Winner].

16. Limit one MicroSite per business. Content provided by businesses that build their free MicroSite and subsequently post their content to their MicroSite on AgooBiz.com is subject to AgooBiz, Inc.’s web site terms and conditions, AgooBiz, Inc.’s privacy policy and the OFFICIAL RULES of this Sweepstakes. AgooBiz, Inc. is not responsible for the content provided by businesses, for any failure of businesses to make content available, for any inability to access content for any reason.
